Protronix Glass

This agreement is between Gruden Technologies LLC, trading as Protronix Tech ("Protronix", "we", "us"), and the organisation or person authorised to use Protronix Glass ("you"). By accessing Protronix Glass you accept these terms. If you do not accept them, do not use the software.

1. What Protronix Glass is

Protronix Glass is an internal operations console used by Protronix Tech to deliver managed IT, security and compliance services. It brings together information from the platforms we use — including Microsoft 365, Datto, Kaseya (Autotask), IT Glue, Cloudflare and QuickBooks Online — into a single view for our engineers. Protronix Glass is not sold, licensed or distributed to the public. Access is limited to Protronix Tech personnel and, where we have agreed it in writing, named individuals at a client organisation.

2. Licence

Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use Protronix Glass for the sole purpose of receiving or delivering the services described in your agreement with us. This licence ends automatically when your service agreement or employment ends, or when we withdraw your access.

3. What you may not do

You may not share your credentials or let anyone else use your access; attempt to access data belonging to an organisation you are not authorised to see; copy, modify, decompile, reverse-engineer, or create derivative works from the software; resell, sublicense, rent or otherwise make the software available to a third party; use the software to break any law or to access any system without authorisation; bypass or interfere with any security, authentication, logging or rate-limiting control; or extract data in bulk except as your role requires and your agreement permits.

4. Your responsibilities

Keep your credentials confidential and use multi-factor authentication. Tell us promptly if you believe an account has been compromised. Use the software only for legitimate business purposes. Make sure you have the authority to connect any third-party account you connect, and that doing so does not breach your agreement with that provider.

5. Data

Your data stays yours. We claim no ownership of the business data displayed in or accessed through Protronix Glass. We process it to provide the services, in line with our Privacy Policy at https://www.protronixtech.com/privacy-policy and your service agreement.

Connected accounts: where you connect a third-party account — such as QuickBooks Online — you authorise us to access that account within the scope granted during authorisation, for as long as the connection remains active. You may disconnect at any time, which revokes our access immediately.

Confidentiality: we treat your data as confidential and disclose it only as described in our Privacy Policy or as required by law.

6. Availability

We aim to keep Protronix Glass available, but we do not guarantee uninterrupted service. We may suspend access for maintenance, security, or where we reasonably believe an account is being misused. Where a service level applies, it is set out in your service agreement, not here.

7. Intellectual property

Protronix Glass, including its design, source code and documentation, is owned by Gruden Technologies LLC and protected by copyright and other laws. Nothing in this agreement transfers any ownership to you. Third-party components remain the property of their respective owners and are used under their own licences.

8. Warranty disclaimer

Protronix Glass is provided "as is". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be error-free, that it will meet your requirements, or that information displayed will always be complete or current — it is drawn from third-party systems whose accuracy we do not control.

Protronix Glass does not provide financial, accounting, tax or legal advice. Financial information displayed from a connected accounting system is provided for convenience only and is not a substitute for your own records or professional advice.

9. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of Protronix Glass. Our total liability arising out of or relating to this agreement will not exceed the amount you paid us for the services in the twelve months before the claim arose, or one hundred US dollars (US$100) if you paid nothing. Nothing in this agreement excludes liability that cannot lawfully be excluded.

10. Indemnity

You agree to indemnify us against claims, losses and reasonable costs arising from your breach of this agreement, your misuse of the software, or your violation of any law or third-party right.

11. Termination

Either party may terminate this agreement at any time. We may suspend or terminate access immediately if we reasonably believe there has been a breach of these terms or a security risk. On termination your licence ends and you must stop using the software. Sections 5, 7, 8, 9, 10 and 12 survive termination.

12. Governing law

This agreement is governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Florida have exclusive jurisdiction over any dispute.

13. Changes

We may update these terms. Where a change is material we will give reasonable notice to affected users. Continuing to use Protronix Glass after a change takes effect means you accept the updated terms.
